Yudu™ Designer of the Year Program Agreement and Rules Please read this Program Agreement and Rules carefully before accessing, using, or participating in the Yudu Designer of the Year Program (Program). By accepting, accessing, using, or submitting artwork for the Program, you agree to be bound by the terms and conditions set forth below, as if you had actually signed them. If you do not agree to the terms and conditions set forth below, you may not participate in the Program. You acknowledge and agree that this Agreement and these Program Rules are a legally binding contract between you and Provo Craft & Novelty, Inc. (Provo Craft). Provo Craft may modify the terms and conditions of this Agreement as described below, and you agree to familiarize yourself with any modifications. 1. The Program is open to legal residents of the United States and Canada who are 18 years of age or older. By your submission you warrant and represent that you have the right to work in the United States or Canada as an independent contractor for Provo Craft & Novelty, Inc. By participating in the Program, you represent that you are 18 years of age or older and you agree that you are bound by the Rules of the Program. Your Program participation is subject to present and future Program terms, conditions, procedures, regulations, and Program rules. 2. The Program is VOID WHERE PROHIBITED BY LAW. 3. By entering the Program you represent and warrant that any artwork entered by you is an original work created by yourself and that you hold, without restriction, the right to assign and/or convey full right and title to the work. 4. By entering the Program you agree that if your artwork is selected as a winning submission the artwork becomes the exclusive property of Provo Craft & Novelty, Inc. and you agree to, upon request, execute any papers and/or assignments which Provo Craft deems necessary to effect the transfer of the artwork. 5. No more than three (3) submissions per person. 6. Submissions must be created using the Yudu™ screenprinter and exclusively using Yudu™ brand inks. 7. Artwork must be submitted as follows: (a) Submissions must include: “hard copies” of your original work including a screen print and a transparency of the artwork, digital copies in lieu of “hard copies” will not be accepted. In addition, submissions must include step by step instructions explaining how to recreate the submission. Pictures, instructional videos, diagrams and other illustrations relative to the creation of the submission are welcome, but not necessary. (b) Submissions must be mailed to the following address: Yudu Designer of the Year Program 151 East 3450 North Spanish Fork, UT 84660 (c) Submissions must be postmarked by November 28, 2009. (d) Submissions will not be returned during, or following, the Program. 8. Submissions will be judged at the sole discretion of Provo Craft. Judging criteria may include, but is not limited to, the following: (a) overall design and creativity of the submission; (b) use of color; (c) technical difficulty of the submission, and; (d) presentation of the submission. 9. If your artwork is selected as a winning submission you will be invited to work as a paid designer for Provo Craft for a period of one (1) year. During which time you will produce artwork which Provo Craft may make available to its customers for purchase. All works produced for Provo Craft in your capacity as a designer will be the sole and exclusive property of Provo Craft. 10. Employees of Provo Craft and/or Michaels Stores, and their immediate family, are not eligible to participate in the Program. 11. Respecting your privacy is a priority for us. However, in order to keep you apprised of the Program status, it is important that we send you certain information necessary for administration; printed or emailed materials from Provo Craft which will inform you of special offers and products we believe would be of interest to you. The information you provide to us when enrolling in the Program is processed in our computer system in the United States. As a participant in the Program, you have consented to receive all of the kinds of information described above. However, you will be given the opportunity to opt-out of e-mails from Provo Craft. Your information will not be shared with third parties. 12. You may cancel your Program participation by notifying Provo Craft, in writing, at the address listed below. In addition, any name or address changes must be made by contacting: Yudu Designer of the Year Program 151 East 3450 North Spanish Fork, UT 84660 Telephone: (801) 794-9000 Fax: (801) 794-9006 Name changes must include supporting legal documentation, signature, and date. 13. Participation in the Program is subject to all Program Rules that Provo Craft may, in its discretion, adopt from time to time. Provo Craft may amend the Program Rules at any time without notice. Provo Craft has the sole discretion to interpret and apply the Program Rules. 14. Participants are responsible for shipping and handling costs associated with the submission of artwork. 15. Participation is subject to the Program Rules. Each participant is responsible for understanding his or her rights, responsibilities, and status in the program. The Program is subject to modification, cancellation, or limitation at Provo Craft’s sole discretion, with or without notice. 16. Participants do not need to purchase a Yudu machine from Michaels Stores, or any store, to participate in the Program. 17. In the case of fraud or abuse involving entry or participation in the Program, Provo Craft reserves the right to take appropriate administrative and/or legal action. 18. By entering the Program, each participant agrees that Provo Craft and each of its respective agents, representatives, parent companies, affiliates, subsidiaries, and legal advisors, and each of its respective employees, shareholders, officers, and directors are not responsible or liable for, and shall be released and held harmless from: (i) late, lost, delayed, damaged, misdirected or otherwise, of any mail, packages, or other correspondence; (ii) any condition caused by events that may cause the Program to be disrupted or otherwise; (iii) any printing, human, typographical or other errors or ambiguities in (or involving) any materials associated with the Program; and (iv) any and all losses, damages, rights, claims, and action of any kind in connection with or resulting from registering, enrolling, or participating in the Program. 19. All issues and questions concerning the construction, validity, interpretation, and enforceability of the Program, or the rights and obligations of any Program participant in connection with the Program, shall be governed by, and construed pursuant to the sole discretion of Provo Craft and under the laws of the State of Utah. 20. Each participant agrees to be bound by the Terms of Use as provided and stated at www.whatdoyudu.com and such Terms of Use are specifically incorporated by reference into this Agreement and Program Rules.
